Terms of Service

These Terms govern use of the Averidi website, customer accounts, project workspaces and business data and analytics services. By creating an account, placing an order or using a paid service, you agree to these Terms. If you place an order for an organization, you confirm that you are authorized to do so on its behalf.
1. Services and project scope
Averidi provides business data and analytics services including data preparation, analysis, reporting, dashboards, forecasting, modeling, reporting automation and ongoing analytics. Each published standard service or service option has a defined standard scope and fixed price. The standard scope describes the analytical objective, included work and deliverable covered by that price.
If information supplied with an order shows that the requested work does not fit the selected standard scope, Averidi may pause commencement and discuss the requirement with you. Work outside the standard scope is not added as a surprise charge. It may be handled through another standard service or a separate custom quote, and any additional paid work proceeds only after you agree to it. A later change to Averidi's published prices does not change the price of an already accepted order.
For standard one-time work using standard timing, the project is assigned a one-week delivery deadline from order placement. A different date entered by a customer is a requested deadline and is not confirmed merely by submitting it. The confirmed project deadline is recorded separately and shown in the project workspace.
Before analytical work commences, Averidi may review the order, scope, payment status, available data and any information needed to perform the work. If clarification is needed, Averidi may contact you or arrange a discussion. If required information or usable data is missing, timing is handled case by case.
2. Accounts and access
You are responsible for providing accurate account information and for maintaining the confidentiality of your account credentials and secure order access. Please contact Support if you believe an account or project link has been accessed without authorization. Averidi may restrict or suspend access where reasonably necessary to protect an account, project, customer or the service from misuse or security risk.
3. Customer responsibilities and project data
You are responsible for the accuracy and legality of information and files you provide and for having the rights, permissions and authority necessary to provide them for the requested work. Do not upload unlawful material, malicious files, or information that you are not permitted to disclose.
If project data contains personal information about customers, employees or other individuals, you are responsible for determining that it may lawfully be provided to Averidi for the requested service and for giving any notices or obtaining any permissions required of you.
4. Confidential business information
Non-public project information and business data supplied for an order are treated as confidential and are used for project delivery, related communication, support and operation of the service. Averidi does not sell, publish or disclose customer project data to unrelated third parties. Information may be processed by service providers where necessary to operate the service securely, subject to appropriate safeguards.
Averidi does not treat publication of illustrative Example Work as permission to publish customer data or customer results. The Example Work currently published on the site is fictional and uses synthetic data.
A separate non-disclosure agreement is optional and is not required for Averidi's baseline confidentiality obligations to apply. Where additional confidentiality terms are appropriate, Averidi may use a standard mutual NDA before consultation, quoting, ordering or data transfer. A customer may also provide its own NDA for review; customer-provided terms apply only if Averidi accepts them in writing. A signed NDA supplements these Terms and controls the treatment of confidential information to the extent of any direct conflict on that subject.
5. Orders, prices and payment
An order records the selected service or services, selected option where applicable, project information and applicable fixed price for the standard scope. One-time project payments are processed through Stripe after an order is created. Recurring services use a separate recurring Stripe checkout. Payment status and, where applicable, subscription status are recorded in the customer workspace.
A custom project or work outside a published standard scope is priced separately. A custom quote must be accepted before the quoted work proceeds. Averidi does not increase the price of an accepted standard-scope order merely because the normal work required within that defined scope is more involved than expected.
Unless a quote or other written agreement says otherwise, prices are stated in the currency shown with the order. Any taxes or other charges that must be collected will be handled as required by the applicable transaction and payment process.
6. Recurring services
Monthly Analytics is a recurring service billed monthly at the recurring amount shown when the subscription is set up. Recurring billing is separate from any one-time project total. Each successfully paid billing period creates the applicable Monthly Analytics cycle for that paid period.
You may cancel Monthly Analytics at any time. Unless mandatory rights or a separate written agreement require otherwise, cancellation is scheduled to take effect at the end of the current paid billing period rather than immediately. The current paid period normally remains non-refundable and is not prorated merely because cancellation was requested during that period. No further monthly charge should be created after the cancellation becomes effective.
If Averidi is waiting for customer data or information needed for a monthly cycle, the affected cycle may be marked as waiting for the customer and delivery timing is handled case by case. Missing customer data does not by itself create a refund or change the paid billing period. If Averidi cannot provide an agreed Monthly Analytics cycle, the affected cycle will be reviewed case by case and may be resolved by a refund, credit or another appropriate documented resolution. A recorded refund or credit resolution is not represented as completed until the corresponding financial action has actually been processed.
Subscription status may also change when the payment provider reports payment failure, cancellation or another subscription event. Nothing in these recurring-service terms limits cancellation, refund or other rights that cannot lawfully be excluded.
7. Cancellations and refund requests
For a paid one-time project, the standard cancellation refund is based on the time elapsed from order placement to submission of the cancellation/refund request: a request submitted within 24 hours of order placement is eligible for a 100% refund of the one-time project amount actually paid; a request submitted more than 24 hours and up to 72 hours after order placement is eligible for a 50% refund; after 72 hours, the one-time project payment is normally non-refundable.
If an active project is cancelled through the cancellation/refund workflow, future project work stops when the request is submitted. A refund request concerning work that has already been delivered or completed does not erase the delivery or completion record. Requests involving Averidi non-performance, duplicate or billing errors, mandatory legal rights, or exceptional circumstances may be reviewed separately and may result in a different refund amount where appropriate. Any exception is recorded as part of the refund decision.
A correctable issue with a deliverable should ordinarily use the included revision process where the delivered work does not meet the agreed project requirements. Required revisions within the agreed scope are included at no additional charge. A new question, dataset, deliverable or materially expanded analysis is new work rather than a paid revision.
This 24/72-hour policy applies to one-time project payments. It does not apply to recurring Monthly Analytics subscription charges, which are governed separately under the recurring-service terms. Nothing in these Terms limits refund, cancellation or other rights that cannot lawfully be excluded.
8. Delivery, approval and revisions
When project review is complete and work is ready to begin, Averidi records commencement and sends a project commencement notification. If a confirmed deadline needs to change after that, Averidi may either record a date already agreed with you or request a deadline extension through the project workflow. A pending extension request does not change the confirmed deadline unless it is accepted.
Project outputs are delivered through the project workspace or another agreed method. Where a revision is included or accepted, a revision request must relate to the agreed project scope and deliverable. New questions, new datasets, additional outputs or other work outside that scope may require a separate quote or order.
The workspace may allow a delivered project to be approved. Approval records the customer's acceptance of the delivered project in the workflow; it does not alter rights that cannot lawfully be waived.
An Averidi Analyst subscription may be cancelled for the end of the current paid billing period. The current paid period normally remains non-refundable and is not prorated unless applicable law or separately stated terms require otherwise. Ending Analyst does not cancel or alter separately ordered Averidi professional services.
9. Analytics, models and forecasts
Analytical outputs depend on the available data, definitions, assumptions, scope and business context. Missing history, inconsistent data, small samples and changing conditions can affect findings and interpretation.
Forecasts, scenarios, models and predictive outputs are estimates, not guarantees of future performance or business outcomes. Averidi's work is intended to provide analytical information and decision support. You remain responsible for business, financial, operational and other decisions made using that information.
Averidi Analyst is a standalone automated analytics subscription and does not include human analytical work unless the customer separately orders an Averidi professional service. Analyst automatically prepares supported data, selects analytical methods within its supported capabilities and uses an AI layer to understand questions and explain server-calculated results. AI-generated explanations can still be incomplete or mistaken and should be read together with displayed evidence and limitations. Where the available data cannot support a reliable conclusion, Analyst may decline to produce one.
Proactive Analyst features use defined metrics and explicit rules. Month-over-month comparisons depend on the approved monthly-period interpretation for the dataset. KPI alerts are threshold rules configured by the customer; they are not anomaly detection and do not guarantee that every important business change will be identified. Scheduled summaries include new verified monthly comparisons available when the scheduled summary runs and may be skipped when no new verified comparison exists.
Advanced Analyst forecasts are estimates selected from bounded historical forecasting methods and are not guarantees of future performance. Scenario outputs apply explicit customer-selected adjustments to a baseline forecast; they do not predict that the scenario will occur. Statistical anomaly detection identifies unusual values relative to available history and may miss important changes or flag benign ones. Automated predictive modeling may compare supported regression or classification models using cross-validation and a final holdout; model performance can deteriorate when future conditions differ from historical data, and predictive association does not establish causation. Analyst may return that no reliable model is recommended.
Analyst webhooks support defined data-ingestion workflows; they do not include custom API engineering or third-party integrations. Customers are responsible for configuring the sending system and safeguarding the webhook secret. Incoming snapshots are automatically prepared and semantically reconciled within the bounded Analyst workflow.
10. Deliverables, customer data and intellectual property
You retain your rights in the data and materials you provide to Averidi. Ownership of customer-specific deliverables created for an order transfers to you automatically upon delivery, subject to any project-specific written terms that expressly state otherwise.
Averidi retains its rights in pre-existing and generally applicable methods, know-how, templates, software, workflows, analytical techniques and other reusable materials that were not created exclusively as a customer-specific deliverable. These Terms do not transfer ownership of the Averidi website, platform or underlying systems.
Ownership of a customer-specific deliverable does not require Averidi to host its downloadable file indefinitely. Project files, attachments and retained customer-specific deliverable files are normally removed from active project storage 90 days after the project is completed or cancelled, unless a different period is required by law, reasonably necessary for an unresolved matter, or agreed with you. You should download deliverables you wish to retain. Business, transaction, security and audit records may be retained separately as described in the Privacy Policy.
11. Acceptable use
Do not misuse the website, accounts, order links, file-upload functions or project workspace; attempt unauthorized access; interfere with security controls; upload malicious material; or use the service for unlawful activity. Access may be limited where reasonably necessary to investigate or prevent misuse.
12. Third-party services and availability
Parts of the service depend on third-party providers, including payment and email-delivery services. Averidi Analyst performs verified business calculations using Averidi's deterministic analytics and modeling code. If Averidi enables its optional self-hosted language layer, that layer operates within Averidi's controlled environment and is subject to the bounded processing described in these Terms and the Privacy Policy. Third-party services used by Averidi may be subject to their own terms and availability. Averidi may also perform maintenance, make changes or experience interruptions. Continuous or error-free availability of the website or workspace is not guaranteed.
13. Disclaimer and liability
Averidi will use reasonable care in providing the agreed analytical service, but no analytical method can eliminate uncertainty arising from data, assumptions or future events. To the extent permitted by applicable law, the service is provided without guarantees of a particular commercial, financial or operational result.
Any limitation or exclusion of liability must operate only to the extent permitted by applicable law. Nothing in these Terms excludes liability or customer rights that cannot legally be excluded or limited.
14. Changes to these Terms
These Terms may be updated as Averidi's services or legal requirements change. The current version will be published on this page with its updated date. Where a change materially affects an existing paid engagement, applicable project-specific terms and mandatory rights remain relevant.

These Terms are issued by Averidi Business Data & Analytics. Except where mandatory law requires otherwise, they are governed by State of Wyoming, United States, and disputes subject to an agreed forum are to be brought in Wyoming, United States.
